INDEPENDENT SALES REPRESENTATIVE
AGREEMENT
Agreement between WEB POWER PROS
(Company) and____________________________
(Sales Representative).
Sales Representative agrees to:
- And acknowledges is a independent contractor and being
paid on commission and knows he/she is responsible for his/her expenses
including laptop, digital camera, cell phone, car, gasoline, insurance,
meals, etc all taxes and social security and matching funds. Software programs such as Microsoft
Office suite (Word, Excel, Publisher, Powerpoint, Outlook, Internet
Explorer) is helpful to communicate to the customer and office.
- Represent and sell the company's services, specifically
described in the company’s brochures in the geographic area of the Zip
codes assigned.
- Accurately represent and state
Company policies to all potential and present clients and have all
paperwork filled out properly and signed and dated by them.
- Fill out sales logs and other
required forms and email them into Company weekly.
- Dress appropriately and act
in a normal socially accepted standard for business.
- Promptly email/deliver all leads and orders to the
Company.
- Meet with Sales Representative’s clients as requested
by them in a timely fashion as well as meeting with them as services are
deemed in project.
- Inform the sales manager of all problems concerning
Company customers within the sales territory.

NOT TO represent, or plan to represent any other
business firm.
- Maintain contact with the Company via telephone,
e-mail, or other agreed upon means of communication with reasonable
frequency to discuss sales activity within the territory.
- Meet as needed with sales manager to discuss business
opportunities and current clients.
- Collect all monies due by the client in the best of
his/her ability.
- Provide company 30-days' notice should the Sales
Representative intend to terminate this agreement.
- Return promptly all materials provided by the Company
to the Company if Sales Representative, or Company terminates this
agreement.
The Company agrees to:
- Pay the following commissions
to the Sales Representative:
- 20% of all total net sales, once
client has paid the Company, except as stated below.
- 10% of all on going hosting /
maintenance / monthly fees.
- Services offered as a FREE add
on will not be paid as a commission item

Negotiate
in advance of sale the commission’s percentage to be paid on all orders that
the Company allows a quantity discount or other trade concession.
- Provide the Sales
Representative with reasonable quantities of business cards, brochures,
catalogs, car signage, and any other logo items required for sales
purposes.
- Set minimum monthly quotas
after consultation with the Sales Representative.
- Grant Sales Representative
30-days' notice should the Company wish to terminate this
agreement. Except when policy standards and procedures have been
violated.
- Pay commissions to Sales
Representative on sales from monthly services of existing customers for
as long a sales representative’s clients continue paying for our services
or until sales representative is terminated.
In Addition, Both
Parties Agree
Commissions on refunds to customers
from disputes by clients in which a commission has already been paid to the
Sales Representative shall be deducted from future commissions to be paid to
the Sales Representative by the Company.
This constitutes the entire
agreement.
This agreement shall be binding upon
the parties and their successors and assigns.
